These terms govern your use of darrenmarble.com. Please read them, especially the parts about investment information and limits on liability.

1. Acceptance

By using this site, you agree to these Terms of Use and to my Privacy Policy. If you don’t agree, please don’t use the site. “I,” “me” and “my” mean Darren Marble. “You” means anyone using the site.

2. Informational purposes only

Everything on this site, including articles, videos, press coverage, newsletter links and descriptions of companies, shows and projects, is provided for general informational and entertainment purposes only. It reflects my personal views and experience, which may change, and may not be complete, current or accurate for your situation.

3. Not investment, legal or tax advice

Nothing on this site is investment, financial, legal, tax or accounting advice, or a recommendation to buy, sell or hold any security or to pursue any strategy. I am not acting as your adviser, broker or fiduciary. Investing in startups and private companies is speculative, illiquid and risky, and you can lose your entire investment. Talk to your own qualified professionals before making any decision.

4. No offer or solicitation of securities

Nothing on this site is an offer to sell, or a solicitation of an offer to buy, any security. Any offering of securities by any company mentioned here, including under Regulation Crowdfunding (Reg CF) or Regulation A+ (Reg A+), is made only through that offering’s official documents, filed with the U.S. Securities and Exchange Commission where required and made available on a registered funding portal, broker-dealer or other authorized platform. Read those documents, including the risk factors, before investing. Past results of any company, offering or person are not a guide to future results.

The site and its content, including text, design, photos, video, graphics and the “Darren Marble” name as used here, are owned by me or my licensors and are protected by copyright, trademark and other laws. I give you a limited, personal, non-exclusive, non-transferable, revocable license to view the site and share links to it for non-commercial purposes. You may not copy, reproduce, republish, modify, distribute, sell, frame, scrape or create derivative works from the content, or use it to train machine learning or AI models, without my prior written permission, except as allowed by law. Press may use materials I provide for that purpose with appropriate credit. All rights not expressly granted are reserved.

8. Third-party links and services

The site links to and embeds content from third parties, such as Substack, YouTube, Netflix, X, LinkedIn, Instagram, news outlets, funding platforms and company websites. I don’t control them and am not responsible for their content, products, offerings, terms or privacy practices. Your use of them is at your own risk and under their terms.

9. Your submissions

If you send me a message, idea, pitch or other material through the contact form or otherwise, you confirm you have the right to send it and that it isn’t unlawful, misleading or confidential to anyone else. Unsolicited ideas and pitches are not treated as confidential, and sending them doesn’t create any relationship, obligation or right to compensation. You give me permission to use your submission to respond to you and for related purposes. Please don’t send confidential or sensitive information.

10. Acceptable use

Don’t use the site in any way that is unlawful, harmful or abusive, that interferes with its operation or security, or that attempts to gain unauthorized access to any system or data. Don’t use automated tools to scrape or bulk download content.

11. Disclaimer of warranties

THE SITE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY OR AVAILABILITY. I don’t warrant that the site will be uninterrupted, error-free, secure or free of harmful components. Some jurisdictions don’t allow certain disclaimers, so some of these may not apply to you.

TO THE FULLEST EXTENT PERMITTED BY LAW, I WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, INVESTMENTS, DATA OR GOODWILL, ARISING FROM OR RELATED TO THE SITE, ITS CONTENT OR ANY DECISION YOU MAKE BASED ON IT, EVEN IF ADVISED OF THE POSSIBILITY OF THOSE DAMAGES. MY TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100). These limits apply to the extent allowed by applicable law.

You agree to defend, indemnify and hold me and my affiliates, companies, partners and representatives harmless from any claims, losses, liabilities, damages, costs and expenses (including reasonable attorneys’ fees) arising from your use of the site, your submissions, or your violation of these terms or of anyone else’s rights.

14. Governing law and venue

These terms are governed by the laws of the State of California, without regard to its conflict of law rules. Any dispute arising from or relating to the site or these terms will be brought only in the state or federal courts located in Los Angeles County, California, and you consent to their personal jurisdiction and venue there.

15. General

If any part of these terms is found unenforceable, the rest stays in effect. My failure to enforce any part is not a waiver. These terms, with the Privacy Policy, are the entire agreement between you and me about the site. I may change, suspend or discontinue the site at any time.

16. Changes

I may update these terms from time to time. I’ll post the new version here and update the date above. Continuing to use the site after a change means you accept the updated terms.
